GIFT CARD TERMS

Effective Date: May 15, 2026

These Gift Card Terms (these “Gift Card Terms”) govern the purchase, use, and redemption of RateFit gift cards (each, a “Gift Card”) issued by RateFit, LLC (“RateFit”). Capitalized terms not defined here have the meanings given in the RateFit Terms of Sale (the “Terms of Sale”), available at Terms of Sale – RateFit, which are incorporated into these Gift Card Terms by reference. By purchasing, receiving, redeeming, or attempting to redeem a Gift Card, the purchaser, recipient, and any holder of the Gift Card (each a “Holder”) agree to be bound by these Gift Card Terms.

Order of Precedence. In the event of a conflict between the Terms of Sale and these Gift Card Terms with respect to Gift Cards, these Gift Card Terms control.

1. ISSUANCE AND ACTIVATION

1.1 Purchase. Gift Cards are purchased online at www.ratefit.com (the “Site”) by selecting a denomination, providing the recipient’s name and email address (for digital delivery), and completing the purchase using an accepted payment method. Gift Cards are issued in U.S. dollars only and in the denominations offered on the Site at the time of purchase.

1.2 Digital Delivery. Gift Cards are delivered electronically to the email address provided by the purchaser at checkout. Delivery typically occurs within minutes of order completion but may be delayed for payment verification, fraud screening, or other operational reasons. RateFit is not responsible for delivery delays caused by the recipient’s email provider, spam filters, or incorrect email addresses provided by the purchaser. If a Gift Card is not received within 24 hours, the purchaser should contact support@ratefit.com.

1.3 Activation. Gift Cards are activated upon successful payment processing for the Gift Card purchase. A Gift Card cannot be used before activation. If a Gift Card is purchased using a payment method that is subsequently reversed, charged back, or otherwise not received by RateFit, RateFit may, in its sole discretion, deactivate the Gift Card and reverse any redemptions made.

1.4 Verification of Funds. Each Gift Card has a unique code. The Holder bears responsibility for keeping the Gift Card code secure. The Gift Card is a bearer instrument: any person who presents a valid Gift Card code at checkout may redeem the remaining balance, and RateFit is not responsible for unauthorized use of a Gift Card if the code has been disclosed to or obtained by a third party.

2. REDEMPTION AND USE

2.1 Where Valid. Gift Cards may be redeemed only on the Site and only toward the purchase of Products. Gift Cards are not redeemable at third-party retailers, in-person events, pop-up stores (except where expressly permitted by RateFit), or any other channel.

2.2 Application at Checkout. To redeem, the Holder enters the Gift Card code at checkout. The applicable amount is deducted from the order total. If the order total exceeds the Gift Card balance, the remaining balance must be paid using another accepted payment method (see Section 3.1 of the Terms of Sale).

2.3 Partial Redemption. If a Gift Card is used to pay only a portion of an order, the remaining balance stays on the Gift Card and may be used for future purchases on the Site (subject to these Gift Card Terms). The Holder may check the remaining balance through the Site’s account portal or by contacting support@ratefit.com.

2.4 Combination. Multiple Gift Cards may be applied to a single order, subject to operational limits disclosed at checkout. Gift Cards are not combinable with promotional codes, discounts, or other offers in a manner that would result in negative balance, double redemption, or other operational anomaly; RateFit reserves the right to reject any combination of Gift Cards and other discounts that is not operationally supported.

2.5 No Cash Back at Checkout. Except as provided in Section 4 (Cash Redemption for Small Balances), Gift Cards do not entitle the Holder to cash refunds for unused balances. The Holder cannot exchange a Gift Card or unused balance for cash, except where required by applicable law.

3. NO EXPIRATION; NO FEES

3.1 No Expiration. Gift Cards do not expire. The Gift Card balance remains valid until fully redeemed, lawfully redeemed for cash under Section 4, or cancelled under Section 5 or Section 6.

3.2 No Dormancy or Inactivity Fees. RateFit does not charge dormancy fees, inactivity fees, service fees, maintenance fees, or any similar fee against the Gift Card balance.

3.3 Compliance with the CARD Act. These no-expiration and no-fee provisions exceed the minimum requirements of the federal Credit Card Accountability Responsibility and Disclosure Act of 2009 (the “CARD Act”), 15 U.S.C. § 1693l-1, and applicable state laws regulating gift certificates and store-issued gift cards.

4. CASH REDEMPTION FOR SMALL BALANCES

Several U.S. states require retailers to redeem small remaining Gift Card balances for cash upon Holder request. RateFit will redeem Gift Card balances for cash where required by applicable state law. Examples of state cash-redemption requirements include:

         California: Gift Cards with a remaining balance of less than $10.00 may be redeemed for cash by the Holder (Cal. Civ. Code § 1749.5(b)(2)).

         Colorado, Montana, New Jersey, Oregon, Washington: Gift Cards with a remaining balance of $5.00 or less may be redeemable for cash, subject to applicable state thresholds and procedures.

         Connecticut: Gift Cards with a remaining balance of $3.00 or less may be redeemable for cash.

         Maine: Gift Cards with a remaining balance of $5.00 or less may be redeemable for cash.

         Massachusetts: Gift Cards with a remaining balance of less than $5.00 (or 10% of the original face value, whichever is greater) may be redeemable for cash.

         Rhode Island and Vermont: Gift Cards with a remaining balance of $1.00 or less may be redeemable for cash.

         Other states may have similar requirements. RateFit complies with cash redemption laws in the Holder’s state of residence, and the specific threshold and procedure applicable to a particular Holder will be determined by the law of that state.

To request a cash redemption of a small remaining balance under applicable state law, the Holder should contact support@ratefit.com with the Gift Card code, the Holder’s name and state of residence, and a description of the requested redemption. RateFit may require reasonable identification and verification before processing the cash redemption.

5. LOST, STOLEN, OR UNAUTHORIZED USE

5.1 No Replacement of Lost Gift Cards. Lost, stolen, or compromised Gift Cards will not be replaced, and the balance on any such Gift Card may be used by any person who has the Gift Card code. This is similar to lost cash.

5.2 Reporting Unauthorized Use. If the Holder believes a Gift Card has been used without authorization, the Holder should immediately contact support@ratefit.com with the Gift Card code, the order number used to purchase the Gift Card (if available), and a description of the suspected unauthorized use. RateFit will investigate in good faith but does not guarantee recovery of the unauthorized-use amount. To the extent RateFit can identify the unauthorized user (for example, through shipping address or other order details), RateFit reserves the right to seek recovery from that user.

5.3 Damaged Physical Gift Cards. If RateFit issues physical Gift Cards (in addition to digital), damaged physical cards may be replaced upon presentation of the damaged card and proof of purchase, at RateFit’s sole discretion. Currently, RateFit issues only digital Gift Cards.

6. FRAUD AND CANCELLATION

6.1 Fraudulent or Improper Issuance. RateFit reserves the right to deactivate, cancel, and void any Gift Card that RateFit reasonably suspects was: (a) obtained through fraud, theft, or misrepresentation; (b) issued in connection with a chargeback, payment reversal, or payment dispute; (c) issued through a promotional code error or other system error; (d) acquired from an unauthorized reseller; or (e) used in connection with a violation of these Gift Card Terms, the Terms of Sale, or applicable law. Holders affected by such cancellation are not entitled to refund or replacement, except as required by applicable law.

6.2 Resale. Gift Cards may not be resold, redeemed for value, or otherwise transferred for consideration. The purchase of a Gift Card from a third-party reseller, secondary market, or auction is at the buyer’s sole risk; RateFit does not honor Gift Cards purchased from unauthorized sources and may deactivate such Gift Cards.

6.3 Transferability for Gifting. Notwithstanding Section 6.2, a Holder may transfer a Gift Card to another person for personal gifting purposes (i.e., without consideration). The transferee becomes a Holder bound by these Gift Card Terms upon receipt of the Gift Card.

7. RETURNS OF PRODUCTS PURCHASED WITH GIFT CARDS

7.1 Refunds to Gift Card Balance. If a Holder returns a Product that was purchased in whole or in part with a Gift Card, any refund attributable to the Gift Card portion of the original payment is returned to a Gift Card balance, not to cash or another payment method. If the original Gift Card is still valid, the refund is credited to that Gift Card; otherwise, RateFit will issue a new digital Gift Card to the Holder.

7.2 Refunds When Payment Was Mixed. If the original payment was a mix of Gift Card and another payment method (e.g., credit card), the refund is generally applied first against the non-Gift-Card portion of the payment (returning to the original payment method) up to the amount paid through that method, and any remaining refund is applied to a Gift Card balance.

7.3 Gift Cards Themselves Are Not Returnable. Gift Cards purchased from RateFit are not returnable and not refundable. Once a Gift Card has been issued (whether or not redeemed), the purchaser is not entitled to a refund of the purchase price, except where required by applicable law (including without limitation Section 4 of these Gift Card Terms).

8. PRIVACY

RateFit collects and processes personal information from purchasers and recipients of Gift Cards (including names, email addresses, and transaction information) in accordance with RateFit’s Privacy Policy, available on the Site. Information collected in connection with a Gift Card purchase or redemption is used for fulfillment, fraud prevention, accounting, regulatory compliance, and other purposes described in the Privacy Policy.

9. DISCLAIMERS; LIMITATION OF LIABILITY

Except as expressly required by applicable law, Gift Cards are provided “AS IS” and “AS AVAILABLE.” RateFit’s liability for any claim arising out of or relating to a Gift Card is governed by Section 10 of the Terms of Sale (Limitation of Liability) and is limited as set forth therein. Nothing in these Gift Card Terms waives any non-waivable right under applicable consumer protection law.

10. DISPUTE RESOLUTION

Any dispute, claim, or controversy arising out of or relating to these Gift Card Terms or a Gift Card is subject to the dispute resolution, governing law, venue, jury waiver, and class action waiver provisions of Section 14 of the Terms of Sale, which are incorporated into these Gift Card Terms by reference. Each Holder acknowledges and agrees to those provisions as a condition of purchasing, receiving, or redeeming a Gift Card.

11. MODIFICATIONS

RateFit may modify these Gift Card Terms from time to time by posting the updated Gift Card Terms on the Site with a new Effective Date. The Gift Card Terms in effect at the time a Gift Card is issued apply to that Gift Card; modifications do not retroactively reduce the rights of Holders with respect to Gift Cards previously issued, except as required by applicable law.

12. STATE-SPECIFIC PROVISIONS

Holders residing in or making purchases from certain states may have additional non-waivable rights under state gift card laws. Nothing in these Gift Card Terms is intended to waive any non-waivable right under any applicable state gift card statute or regulation, including without limitation: California Civil Code §§ 1749.45 — 1749.6; New York General Business Law § 396-i; Massachusetts G.L. c. 200A; Connecticut General Statutes § 3-65c; and similar laws of other states. Where any provision of these Gift Card Terms is restricted or unenforceable under applicable state law for a particular Holder or transaction, that provision is modified only to the minimum extent required, and the remainder of these Gift Card Terms remains in full effect.
